By accessing and using Syntax Planet's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms, please do not use our services.

We reserve the right to update, change, or replace any part of these Terms by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes.

Syntax Planet Inc. provides custom software development, cloud solutions, mobile app engineering, AI/ML services, and related technology consulting services. Our services include but are not limited to:

• Custom software development and engineering
• Cloud infrastructure and DevOps solutions
• Mobile application development (iOS and Android)
• Artificial Intelligence and Machine Learning solutions
• Data science and analytics services
• UX/UI design and user experience consulting
• Technology consulting and strategic planning

When using our services, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Comply with all applicable laws and regulations
• Not use our services for any unlawful or prohibited purpose
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorized access to our systems

4.1 Our Intellectual Property

All content on our website, including text, graphics, logos, images, software, and documentation, is the property of Syntax Planet Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws.

4.2 Client Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in deliverables created specifically for a client project will be transferred to the client upon full payment. Pre-existing intellectual property, tools, frameworks, and methodologies remain the property of Syntax Planet Inc.

4.3 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use our website and services for their intended purpose. This license does not include the right to resell or commercial use of our services or content.

5.1 Fees and Pricing

Fees for our services are outlined in individual project proposals or service agreements. All fees are quoted in US Dollars unless otherwise specified.

5.2 Payment Schedule

Payment terms will be specified in your service agreement. Standard payment terms include:

• Initial deposit upon project commencement
• Milestone-based payments for larger projects
• Final payment upon project completion
• Monthly invoicing for ongoing services

5.3 Late Payments

Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less. We reserve the right to suspend services for accounts with overdue payments.

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This includes:

• Business strategies and plans
• Technical information and trade secrets
• Customer data and personal information
• Financial information
• Any information marked as confidential

Confidential information does not include information that is publicly available, independently developed, or received from a third party without confidentiality obligations.

7.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties for deliverables will be outlined in individual service agreements.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTAX PLANET INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any claims arising out of or related to these Terms or our services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

9.1 Termination by Either Party

Either party may terminate a service agreement with written notice as specified in the agreement. Termination terms will vary based on the type of service and project stage.

9.2 Termination for Cause

We may terminate your access to our services immediately if you:

• Breach these Terms or any service agreement
• Fail to make required payments
• Engage in fraudulent or illegal activities
• Violate intellectual property rights

9.3 Effect of Termination

Upon termination, you must cease all use of our services and pay any outstanding fees. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, warranty disclaimers, and limitations of liability.

You agree to indemnify, defend, and hold harmless Syntax Planet Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or data you provide to us

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

11.2 Arbitration

Any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Texas, United States.

11.3 Exceptions

Either party may seek injunctive or other equitable relief in court to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

12.1 Entire Agreement

These Terms, together with any service agreements, constitute the entire agreement between you and Syntax Planet Inc. regarding the use of our services.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

12.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
